Terms of Service

Please read these Terms carefully before using Opedd. By creating an account, purchasing a license, or accessing our API, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. About Opedd

Opedd is a content licensing platform operated by Opedd Technologies ("we", "us", "our"), a business based in the United Kingdom at [ADDRESS].

Opedd provides infrastructure that allows publishers to register, price, and license their written content, and allows buyers — including individuals, organisations, and AI systems — to purchase those licenses programmatically or via a checkout flow. Every license issued through Opedd is recorded in an immutable ledger and optionally registered on the Base blockchain for independent verification.

Opedd is not a marketplace for content itself. We do not host, display, or distribute the content that is licensed through our platform. We provide the infrastructure for rights transactions.

The following terms have specific meanings throughout these Terms:

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use Opedd. By creating an account, you represent that you meet these requirements. If you are using Opedd on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You must notify us immediately at privacy@opedd.com if you suspect any unauthorised access to your account. Opedd is not liable for any loss or damage arising from your failure to keep your credentials secure.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep this information up to date. Accounts created with false or misleading information may be suspended or terminated.

3.4 One Account Per Person

Each individual or organisation may maintain one Publisher account unless expressly authorised otherwise in writing by Opedd. Team members may be added to an existing Publisher account via the team management feature.

4.3 Platform Fee

Opedd charges a platform fee of 10% of each transaction value on top of payment processing fees charged by Stripe. This fee is deducted automatically at the time of payout. The remaining amount is transferred to your connected Stripe account. Opedd reserves the right to change its fee structure with 30 days' notice.

4.4 Subscription Plans

Opedd offers free and paid subscription plans. Paid plans (Pro and Enterprise) unlock additional features including higher rate limits, advanced webhooks, and team management. Subscription fees are charged monthly and are non-refundable except as required by applicable law. Downgrading or cancelling a plan takes effect at the end of the current billing period.

4.5 Content Removal

You may remove Content from the Platform at any time. However, removing Content does not invalidate or revoke Licenses already issued for that Content prior to its removal. If you believe Content has been registered on Opedd without your authorisation, contact us at privacy@opedd.com.

4.6 Publisher Webhooks

If you configure a webhook endpoint, you are responsible for ensuring that endpoint is secure, available, and handles events appropriately. Opedd will attempt to deliver webhook events with up to 5 retries over a 24-hour period but does not guarantee delivery.

5. Buyer Terms

5.1 License Grant

When you purchase a License, you receive a non-exclusive, non-transferable, limited right to use the specific Content as described in Section 6. You do not acquire any ownership of the Content. The Publisher retains all intellectual property rights in the Content.

6. License Types and Permitted Use

Opedd supports three License types. The permitted use for each is defined as follows:

ai AI Training Including the Content in training datasets used to train, fine-tune, or pre-train machine learning models. The Content may be used as part of a dataset without further restriction on the resulting model. Real-time retrieval at inference time; redistribution of the Content itself; use beyond the training of the specified model generation.
ai_inference AI Inference Indexing and retrieving the Content at inference time as part of a Retrieval-Augmented Generation (RAG) system, knowledge base, or similar real-time lookup architecture. The Content may be retrieved and surfaced in responses generated by AI systems. Use in training datasets; sublicensing; redistributing the full text of the Content to end users without attribution.

6.1 Attribution

For human licenses, Buyers must include reasonable attribution to the original Publisher and article when republishing. Attribution should include the Publisher's name and a link to the original URL where practicable.

6.2 Scope

Each License covers a single piece of Content identified by its article UUID. A separate License is required for each piece of Content you wish to use. Archive or bulk licenses covering a Publisher's entire catalog may be available by arrangement — contact the Publisher directly or email privacy@opedd.com.

6.3 No Sublicensing

Licenses are personal to the Buyer identified at the time of purchase. You may not sell, assign, or sublicense your rights to any third party without the written consent of the Publisher.

6.4 License Revocation

A License may be revoked by Opedd or the Publisher in the following circumstances:

In the event of revocation, the License Key will be invalidated and verification calls will return valid: false.

7. Payments, Fees and Refunds

7.1 Payment Processing

All payments on Opedd are processed by Stripe, Inc. By making a purchase, you also agree to Stripe's Terms of Service. Opedd does not store your full card details — these are held securely by Stripe.

7.2 Pricing

License prices are set by Publishers and displayed in US Dollars (USD). Prices are exclusive of any applicable taxes. You are responsible for any taxes, duties, or levies applicable in your jurisdiction. VAT or GST may be added at checkout depending on your location.

7.3 Refund Policy

Because Licenses grant immediate access to intellectual property rights and the License Key is delivered instantly upon payment, all sales are final and non-refundable unless:

Refund requests must be submitted to privacy@opedd.com within 14 days of the transaction. Where a refund is granted, the corresponding License will be revoked.

7.4 Chargebacks

If you initiate a chargeback with your payment provider without first contacting Opedd, we reserve the right to immediately revoke all Licenses associated with that payment and suspend your account pending investigation.

7.5 Failed Payments

If a payment fails, no License Key will be issued. For subscription payments, failed payments may result in plan downgrade or account suspension after reasonable notice.

8. API and Programmatic Access

8.1 API Keys

Publisher API keys (prefixed op_) grant full programmatic access to your publisher account, including the ability to issue Licenses on your behalf. You are solely responsible for keeping your API keys secure. Do not expose them in public repositories, client-side code, or logs. Compromised keys should be regenerated immediately from your dashboard.

8.2 Rate Limits

API usage is subject to rate limits as documented at docs.opedd.com. Exceeding rate limits will result in 429 responses. Systematic attempts to circumvent rate limits — including using multiple API keys or IP rotation — are prohibited and may result in account termination.

You agree not to use the API to:

The agent-purchase endpoint is designed for AI agents operating autonomously. Operators of AI agents using this endpoint are responsible for ensuring their agents comply with these Terms. The operator is the contracting party, not the agent itself.

9. Blockchain Registration

Opedd optionally registers License records on the Base blockchain via the OpeddRegistry smart contract. By using Opedd, you acknowledge and agree that:

10. Intellectual Property

10.1 Your Content

Publishers retain all intellectual property rights in their Content. By registering Content on Opedd, you grant Opedd a limited, non-exclusive, royalty-free licence to display Content metadata (title, description, URL, publisher name) on the Platform and in API responses for the purpose of operating the licensing service.

10.2 Opedd Platform

All intellectual property in the Opedd Platform — including software, design, trademarks, the Opedd protocol specification, and documentation — is owned by or licensed to Opedd. Nothing in these Terms grants you any rights in the Platform beyond what is expressly stated.

10.3 Feedback

If you submit feedback, suggestions, or ideas about the Platform, you grant Opedd a perpetual, irrevocable, royalty-free licence to use that feedback without restriction and without any obligation to you.

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Opedd does not warrant that:

13. Limitation of Liability

To the maximum extent permitted by applicable law, Opedd's total aggregate liability to you for all claims arising out of or related to these Terms or the Platform — whether in contract, tort (including negligence), or otherwise — shall not exceed the greater of:

15. Termination and Suspension

15.1 Termination by You

You may close your Publisher account at any time from your dashboard settings or by emailing privacy@opedd.com. Closing your account does not affect Licenses already issued for your Content — those remain valid.

15.2 Termination by Opedd

Opedd may suspend or terminate your account immediately if:

Where possible, we will give you reasonable notice before terminating your account, except where immediate action is necessary to protect users or the Platform.

15.3 Effect of Termination

Upon termination, your right to access the Platform ceases. Any outstanding balance due to you will be paid out within 30 days, subject to any amounts withheld due to disputes or chargebacks. Sections 6, 9, 10, 12, 13, 14, and 17 survive termination.

16. Changes to the Service and Terms

Opedd reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We will endeavour to give reasonable advance notice of significant changes.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email or via an in-app notice. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

If you disagree with any changes, you should stop using the Platform and close your account.

17. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that either party may seek interim injunctive relief in any court of competent jurisdiction.

Before initiating formal legal proceedings, we encourage you to contact us at privacy@opedd.com to attempt to resolve the dispute informally. Most issues can be resolved this way.
